Article 1 (Application)

These Terms of Service (hereinafter “Terms”) set forth the conditions for use of the B2B software review and comparison platform “BtoB Review Hub” (hereinafter “Service”) provided by Techro Inc. (hereinafter “Company”). These Terms apply to all users (hereinafter “Users”) of the Service.

Any rules regarding the use of this Service posted on the Company’s website shall constitute a part of these Terms.

Article 2 (Definitions)

The terms used in these Terms are defined as follows:

“Service Agreement”: The agreement concluded between the Company and the User under these Terms
“Intellectual Property Rights”: Copyright, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights
“User Content”: Text, images, reviews, and other content posted or created by Users on the Service
“User”: Any individual, corporation, or organization that uses the Service
“Listed Vendor”: Software vendors who list their products and services on the Service

Article 3 (Usage)

The Service Agreement shall be established when a User agrees to these Terms.

The Company may refuse usage in the following cases, without obligation to disclose reasons:

If false information has been submitted
If the applicant has previously violated these Terms
If the applicant has connections to antisocial forces
If the Company otherwise determines that usage is inappropriate

Article 4 (Account Management)

Users shall manage their account information (email address and password) appropriately under their own responsibility.

All activities conducted using registered account information shall be deemed to have been performed by the User holding such account. The Company shall not be liable for any damage caused by unauthorized use of accounts.

Article 5 (Fees)

Basic features including browsing and posting reviews, and searching and comparing products are available free of charge.

Paid plans for Listed Vendors shall be separately defined on the Company’s website.

Article 6 (Review Posting)

When posting reviews, Users shall comply with the following:

Provide accurate content based on actual usage experience
Provide objective evaluations of products and services
Not include content that infringes on the rights of others
Not use false, exaggerated, or misleading expressions
Not post solely for advertising or promotional purposes

The Company may delete reviews that violate this article without prior notice.

Article 7 (Prohibited Activities)

Users shall not engage in the following activities when using the Service:

Activities that violate laws or public order and morals
Activities related to criminal acts
Activities that infringe on intellectual property rights, portrait rights, privacy, reputation, or other rights of the Company, other users, or third parties
Deliberately inputting false information
Transmitting information containing harmful programs such as computer viruses
Placing excessive load on the Service’s servers or network functions
Activities that interfere with the operation of the Service
Unauthorized access or attempts thereof
Mechanical collection of information using robots, scrapers, etc.
Providing benefits to antisocial forces
Other activities deemed inappropriate by the Company

Article 8 (Suspension of Service)

The Company may suspend or interrupt all or part of the Service without prior notice if any of the following reasons exist:

Maintenance, inspection, or update of the computer system
Difficulty in providing the Service due to force majeure
Computers or communication lines stopped due to accidents
The Company otherwise determines that providing the Service is difficult

Article 9 (Intellectual Property Rights)

All intellectual property rights related to the Service belong to the Company or those who have licensed them to the Company.

Users represent and warrant that they have the legal right to post User Content. While copyright of User Content is retained by the User, the User grants the Company a worldwide, non-exclusive, royalty-free, sublicensable license to use User Content for the purpose of providing, improving, and promoting the Service.

Article 10 (Usage Restrictions and Account Deletion)

The Company may delete User Content, restrict usage, or delete registrations without prior notice if a User falls under any of the following:

Violation of any provision of these Terms
Discovery of false facts in registered information
No response to communications from the Company for a certain period
The Company otherwise determines that continued usage is inappropriate

Article 11 (Disclaimer)

The Company makes no warranties regarding the accuracy, completeness, or usefulness of information posted on the Service.

The Company shall not be liable for any damages arising from the Service, except in cases of intentional misconduct or gross negligence. Liability shall be limited to direct and ordinary damages.

The Company shall not be liable for any transactions, communications, or disputes between Users or between Users and third parties.

Article 12 (Changes to Service)

The Company may change or discontinue the Service without notice and shall not be liable for any damages caused thereby.

Article 13 (Changes to Terms)

The Company may change these Terms at any time without notice. Users who begin using the Service after such changes shall be deemed to have agreed to the revised Terms.

Article 14 (Handling of Personal Information)

The Company shall handle personal information in accordance with the Company’s Privacy Policy.

Article 15 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan. The Tokyo District Court shall be the exclusive court of first instance.
